1. Agreement to Terms

By accessing or using Big Open Box services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services

Big Open Box provides IT consultancy, mobile app development, cloud migration, and related technology services. We reserve the right to modify, suspend, or discontinue any service at any time without notice.

3. Project Scope & Deliverables

All projects will be defined through a Statement of Work (SOW) or project agreement that outlines:

  • Project scope and deliverables
  • Timeline and milestones
  • Payment terms and schedule
  • Acceptance criteria

4. Payment Terms

Payment terms will be specified in the project agreement. Generally:

  • An initial deposit may be required to commence work
  • Milestone payments as outlined in the SOW
  • Final payment upon project completion and acceptance
  • Late payments may incur interest charges

5. Intellectual Property

Upon full payment, clients receive ownership of custom-developed deliverables. However:

  • Big Open Box retains rights to pre-existing tools, frameworks, and methodologies
  • Third-party licenses and components remain subject to their respective terms
  • We may showcase completed projects in our portfolio unless otherwise agreed

6. Confidentiality

We respect client confidentiality and will not disclose proprietary information without consent. Both parties agree to maintain confidentiality of sensitive business information shared during the engagement.

7. Warranties & Disclaimers

We warrant that services will be performed in a professional manner. However:

  • Services are provided "as is" without warranties of any kind
  • We do not guarantee specific business outcomes or results
  • Bug fixes and support are provided as specified in the project agreement

8. Limitation of Liability

Big Open Box shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid for the specific service in question.

9. Termination

Either party may terminate the agreement with written notice. Upon termination:

  • Client pays for work completed to date
  • Big Open Box delivers all completed work
  • Confidentiality obligations continue

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
